Our Services


We assist our clients in creating and maintaining best in class corporate governance frameworks reflecting their specific industry, organisational and regulatory context. We do this through the provision of context rich governance training, director mentoring and consulting support.

Governance Training

We can facilitate governance training to individual directors, boards and executive committees across sectors and company types. While not exhaustive, training can be provided in the following subject areas:
  • Role and responsibilities of the board and board committees (bespoke to industry and regulatory context)
  • Being an effective board and/or board committee chair
  • Structuring an effective governance framework (including for investment funds) 
  • Boardroom dynamics, behaviours, cognitive biases and decision-making 
  • Board processes (including receipt of management information)
  • Executive remuneration and incentives
  • Business ethics: (i) Managing conflicts of interest; (ii) Dealing with ethical dilemmas; (iii) Ethical decision-making strategies
  • Challenges of subsidiary governance
  • Management information: Creating an effective basis for reporting to the board
  • Culture and the board: developing a cultural framework
  • A regulatory framework for banks and financial services organisations (including investment funds) 
Training can be provided using a combination of presentation, discussion and case work reflecting the specific client context.

Mentoring

Making the transition from management to executive director, from executive director to non-executive director and from non-executive director to board chair can often be more challenging than anticipated. Directors can inherit board dynamic, functioning and/or composition issues that they need to deal with.

Dr Margaret Cullen offers one to one mentoring for directors making this transition and/or dealing with these governance challenges.

Consulting Support

Think Governance provide consulting support to clients to assist them navigate governance challenges and/or implement best practice governance standards within their organisation. Specific issues we help our clients to address include:
  • Design and implementation of bespoke governance frameworks for Public Limited Companies, State Companies, Charities, Banks and Financial Institutions, Investment Funds and Management Companies.
  • Developing a cultural framework to influence and oversee organisational culture consistent with company purpose and values.
  • Board effectiveness assessments.
